BID Automated Trading KFT operates as a wholesale distributor of mobile phones within the European Union. Our services are exclusively B2B (business-to-business) and are intended for retailers, distributors, and enterprise clients only. We do not sell directly to individual consumers.

3. Orders and Pricing

• All orders are subject to acceptance by BID Automated Trading KFT
• Prices are provided on a per-quote basis and may vary based on product availability, market conditions, and order volume
• Minimum order quantities apply and are specified in individual quotes
• We reserve the right to modify prices at any time without prior notice
• All prices are quoted in EUR unless otherwise specified
• Orders become binding once confirmed in writing by BID Automated Trading KFT

4. Payment Terms

• Payment terms are specified in individual quotes and invoices
• Standard payment methods include bank transfer (SEPA) and wire transfer
• Payment is due within the timeframe specified on the invoice
• Late payments may incur interest charges as permitted by applicable law
• We reserve the right to suspend services for accounts with overdue payments
• Flexible payment terms may be arranged for established business partners

5. Delivery and Shipping

• Delivery times are estimates and not guaranteed unless explicitly agreed in writing
• Risk of loss passes to the buyer upon delivery to the carrier
• Shipping costs are calculated based on order volume, weight, and destination
• We are not responsible for delays caused by customs, weather, or carrier issues
• Buyers are responsible for customs duties, taxes, and import fees in their jurisdiction

6. Product Authenticity and Warranty

• All products sold are 100% authentic and sourced from authorized distributors
• Products come with official manufacturer warranties as specified
• Warranty terms and conditions are those provided by the manufacturer
• BID Automated Trading KFT assists with warranty claims but is not the warranty provider
• Buyers are responsible for verifying product specifications before ordering

7. Returns and Refunds

• Returns are accepted only for defective products or shipping errors
• Return requests must be made within 7 days of delivery
• Products must be in original, unopened condition with all accessories and documentation
• Return shipping costs are the responsibility of the buyer unless the error was ours
• Refunds are processed within 14 business days after receiving and inspecting returned items
• Custom orders and bulk orders may have different return policies as specified in writing

8. Limitation of Liability

To the maximum extent permitted by law:

• BID Automated Trading KFT is not liable for indirect, incidental, consequential, or punitive damages
• Our total liability for any claim is limited to the amount paid for the specific products in question
• We are not liable for losses resulting from product use, business interruption, or lost profits
• Buyers assume all risks associated with the resale and use of purchased products

10. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the business relationship, including pricing, product availability, and business strategies. This obligation survives the termination of the business relationship.

11. Compliance and Legal Requirements

• Buyers must comply with all applicable laws and regulations in their jurisdiction
• Buyers are responsible for obtaining any necessary licenses or permits for resale
• Products must not be used for illegal purposes or in violation of trade restrictions
• Buyers must comply with all export control and sanctions regulations

12. Termination

We reserve the right to terminate our business relationship with any partner at any time for any reason, including violation of these Terms, non-payment, or fraudulent activity. Upon termination, all outstanding invoices become immediately due.

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or labor disputes.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Hungary. Any disputes arising from these Terms or our business relationship shall be subject to the exclusive jurisdiction of the courts of Budapest, Hungary.

15. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued business engagement after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any written agreements or quotes, constitute the entire agreement between you and BID Automated Trading KFT and supersede all prior communications and agreements.
